Buying into a football club, whether a minority stake or full ownership, raises questions that sit well outside ordinary M&A practice. A buyer needs to understand the club’s actual regulatory standing before signing anything: is it compliant with club licensing criteria, does it have overdue payables to players or other clubs that could trigger a transfer ban, and what disciplinary or financial history sits with CAF or the relevant federation that an ordinary due diligence checklist would never surface. Multi-club ownership structures, now common internationally, bring an additional layer — FIFA and several competitions restrict common ownership of clubs competing in the same competition, and getting that wrong can mean one of the clubs being excluded entirely.

A sponsorship agreement is, at its core, a commercial licence — the sponsor pays for association with the club, player, or event, and in return receives defined rights (branding, hospitality, activation rights, exclusivity within a product category). The disputes that actually arise tend to cluster around a small set of issues: what exactly was promised (visibility, category exclusivity, minimum performance levels), what happens on relegation, suspension of a sponsored competition, or a sponsored athlete’s misconduct, and how morality or conduct clauses are actually triggered and enforced in practice.

Broadcasting rights are typically the single largest revenue line in professional football, and the legal structure — centralised sale by a league versus individual club sale, territorial exclusivity, sub-licensing to streaming platforms — has direct competition-law implications as well as straightforward contract ones. Rights packages also increasingly separate live match rights from highlights, archive, and data rights, each negotiated and licensed on different terms.

Merchandising sits at the intersection of trademark law, licensing, and sponsorship — a club’s crest, name, and colours are protectable intellectual property, and merchandising agreements need to specify exactly what’s licensed, for how long, in which territories, and how quality control and counterfeiting are handled. Kit supplier deals in particular combine sponsorship, merchandising, and image rights considerations in a single agreement.

Beyond club competition licensing, football generates licensing questions across video games, branded content, stadium naming rights, and co-branded products — each requiring its own clear grant of rights, territorial and duration limits, and, often, moral or reputational safeguards for the licensor.

A player’s name, image, and likeness can be commercially exploited separately from their playing contract, and how that’s structured — through the player’s own company, a direct licence to the club, or a separate agreement with a sponsor — has real tax and legal consequences. Disputes commonly arise over where playing-contract obligations end and separate image rights arrangements begin, particularly around club-controlled versus player-controlled commercial activity.

From VAR and goal-line technology to performance-tracking wearables and fan engagement platforms, sports technology raises data protection questions (who owns and can use an athlete’s biometric and performance data), technology licensing questions, and, increasingly, questions about AI-generated content and its use in coaching, scouting, and broadcast analysis.

Stadium and training-facility projects combine construction and real estate law with sports-specific regulatory requirements — competition organisers set minimum stadium standards for licensing purposes, and naming-rights and facility-sponsorship agreements need to be structured alongside the underlying property and financing arrangements.

Hosting a tournament or major event — whether a CAF competition fixture, a sponsored exhibition match, or a federation-sanctioned tournament — involves a distinct bundle of agreements: host city or venue agreements, ticketing terms, broadcast and sponsorship rights specific to the event, and liability and insurance arrangements that a club’s ordinary match-day operations wouldn’t need.

An individual athlete endorsement deal is a personal services and licensing agreement, typically covering appearance obligations, exclusivity (including category exclusivity against competing brands), image and likeness use, and, critically, morality clauses defining what conduct entitles the brand to terminate or suspend payment — a frequent point of dispute when an athlete’s off-field conduct becomes public.

Beyond traditional broadcasting, sports media now spans club-owned content platforms, athlete-run channels and social media monetisation, and rights-holder relationships with digital platforms — each raising its own mix of IP licensing, platform terms of service, and, where athletes are content creators themselves, potential conflicts with their existing sponsorship exclusivity obligations.

Running or working with a sports agency now means operating within the FIFA Football Agent Regulations’ licensing framework — agency service agreements, representation agreements with players and clubs, and commission structures all need to be drafted with the FFAR’s conflict-of-interest and disclosure requirements in mind, not treated as an ordinary commercial services contract.
